These Terms of Service ("Terms") govern your use of TidySub, the bid management platform for construction contractors (the "Service"). TidySub is built and operated by Obsidian Build & Sound LLC, doing business as Automated Construction ("we," "us," or "our"). By signing in to TidySub or using it in any way, you agree to these Terms and to the TidySub Usage Policy. If you do not agree, do not use the Service.
These Terms cover the TidySub application only. Use of the automatedconstruction.io website is governed by our separate website Terms of Service.
1. Acceptance of Terms
You may use TidySub only if you are at least 18 years old and are using it on behalf of a company that has an agreement with us (the "Customer"). If you use the Service for a Customer, you confirm that you are authorized to accept these Terms for that Customer, and "you" in these Terms means both you and the Customer. We may update these Terms from time to time. Continued use of the Service after a change means you accept the revised Terms.
2. The Service
TidySub helps construction contractors manage bid invitations, estimating assignments, proposals, follow-ups, takeoffs, and the documents and contacts that go with them. Each Customer gets its own hosted instance and its own data. Depending on the Customer's agreement, the Service may include:
- A bid inbox that imports invitations from a connected mailbox
- A pipeline, hub, calendar, and records for tracking bids and tasks
- A file viewer with markups and quantity takeoff tools
- A proposal generator that produces PDF, Excel, and Word documents
- AI features, including an assistant that reads documents, drafts messages, and proposes actions
- Scheduled team reports delivered by email
The Service is provided under a written agreement, order form, or proposal between the Customer and Obsidian Build & Sound LLC (the "Customer Agreement"). If the Customer Agreement conflicts with these Terms, the Customer Agreement controls.
3. Accounts and Access
Accounts are created by the Customer's administrator. You sign in with a Google account or with an email address and password that the administrator sets up. You agree to:
- Keep your sign-in details private and not share your account with anyone
- Use only accounts that were issued to you
- Tell your administrator or us right away if you believe your account has been compromised
The Customer is responsible for the people it gives access to, for the accuracy of its account information, and for everything done under its accounts. Administrators can deactivate or delete user accounts at any time.
4. Customer Data
Everything the Customer's team enters into or uploads to TidySub, including bids, plans, specifications, contacts, proposals, and email content imported from a connected mailbox ("Customer Data"), belongs to the Customer. You keep all rights to Customer Data. You give us a limited license to host, copy, process, transmit, and display Customer Data only as needed to run the Service, to provide support, and to meet our legal obligations.
You are responsible for Customer Data. You confirm that you have the rights needed to upload it and that using it in TidySub does not break any law or any agreement you have with someone else, such as a general contractor's confidentiality terms.
Retention windows for some records are set by the Customer's administrator inside the Service. When the Customer Agreement ends, we will make Customer Data available for export for a reasonable period and then delete it, unless the law requires us to keep it. Our TidySub Privacy Policy explains how we handle personal information.
5. AI Features
TidySub includes features that use artificial intelligence, such as extracting bid details from emails, drafting follow-ups and submission messages, answering questions about uploaded documents, and measuring quantities from plans. These features are assistive. They can be wrong, incomplete, or out of date.
- Every message the assistant drafts is sent only after a person on your team approves it
- Every change the assistant proposes to your records is applied only after a person approves it
- Quantities, prices, dates, and scope produced by AI must be checked by a qualified person before you rely on them in a bid, proposal, or contract
You are responsible for reviewing AI output and for any decision you make based on it. AI output is not professional, legal, engineering, or financial advice.
6. Connected Services
Parts of the Service depend on third-party services, which may include Google Workspace (Gmail, Sheets, and sign-in), Supabase for database and storage, model providers reached through OpenRouter for AI features, n8n for automation workflows, and LangSmith for optional diagnostics. When you connect a third-party account, you authorize us to access it as described in the connection screen and in the TidySub Privacy Policy.
Your use of those third-party services is also subject to their own terms. We are not responsible for changes, outages, or data handling on their side, and we may change providers to keep the Service running.
7. Availability, Support, and Changes
We work to keep TidySub available and will tell the Customer's administrator about planned maintenance when we can. The Service may still be unavailable at times because of maintenance, third-party outages, or events outside our control. Support is provided as described in the Customer Agreement, or by email at the address in the Contact section. We may add, change, or remove features. If a change materially reduces what the Customer paid for, the Customer may end the Customer Agreement as it allows.
8. Fees
Fees, billing periods, and payment terms are set out in the Customer Agreement. Unless it says otherwise, fees are non-refundable and do not include taxes. We may suspend access for accounts that are more than 30 days past due after giving written notice.
9. Intellectual Property
TidySub, including its software, design, documentation, and the "TidySub" and "Automated Construction" names and marks, is owned by Obsidian Build & Sound LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant the Customer a limited, non-exclusive, non-transferable right to use the Service for its own business during the term of the Customer Agreement. You may not copy, modify, resell, sublicense, or reverse engineer the Service. If you send us feedback or suggestions, we may use them without any obligation to you.
10. Acceptable Use
You agree to use TidySub only as allowed by the TidySub Usage Policy, which is part of these Terms. In short: use it for your own legitimate bidding and project work, do not try to access data or accounts that are not yours, do not use it to send spam or misleading messages, and do not use it to break the law.
11. Suspension and Termination
We may suspend or end access to the Service, in whole or in part, if you materially breach these Terms or the Usage Policy, if your use creates a security or legal risk, or if required by law. Where practical we will give notice and a chance to fix the problem first.
The Customer may end the Customer Agreement as it allows. On termination, your right to use the Service ends. Sections 4 (Customer Data), 9 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), and 14 (Governing Law) survive termination.
12. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that AI output will be accurate, or that using the Service will lead to any particular business result. You remain responsible for the bids, proposals, and contracts you submit.
13. Limitation of Liability
To the fullest extent permitted by law, Obsidian Build & Sound LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost bids, or lost revenue, arising out of or related to the Service, even if we were told such damages were possible. Our total liability for all claims related to the Service in any 12-month period will not exceed the fees the Customer paid us for the Service in that period.
14. Governing Law
These Terms are governed by the laws of the State of [State of formation — to be confirmed], without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in that state, unless the Customer Agreement says otherwise.
15. Changes to These Terms
We may revise these Terms by posting an updated version on this page and updating the "Last updated" date above. For material changes we will also notify the Customer's administrator. Continued use of the Service after a change takes effect means you accept the revised Terms.
